1. REFERRAL COMMISSIONS:
LitePC Technologies Pty Ltd will pay resellers a referral commission based on products and/or services sold to customers who follow a special link from the resellers's sponsoring website to our site and submit an order. The reward commission is currently 25% of the sale total. LitePC Technologies\ reserves the right to change the referral commission rate at any time with notice to the reseller.

2. REFERRAL TRACKING:
LitePC Technologies uses SWREG is an independent third-party affiliate tracking service. Referrals are valid for a 90 day period. Within that 90 day period a reseller earns a reward every time a customer that carries the reseller code cookie makes a purchase at litePC.com. If the same customer is referred to LitePC.com within 90 days by multiple resellers, the commission is awarded to the most recent referrer. Reseller/affiliate sales are tracked by a third party SWREG.org. LitePC Technologies Pty Ltd can not be held responsible nor liable for any accounting errors, server inaccessibility, or any other problems that may occur in the tracking of affiliates, the retrieving of data, the payment of commissions, and/or any other issue that is controlled by SWREG.

3. RETURNS/CANCELLATIONS:
If a product is later returned by a customer, or if a service is cancelled, the referral fee will be deducted from the next payment sent to the reseller.

4. PROCESSING OF SALES:
LitePC Technologies Pty Ltd will be solely responsible for processing every order placed by a customer following a special link from your sponsoring website. Orders, payment processing, shipping, cancellations, returns, and related customer service are the sole responsibility of LitePC Technologies Pty Ltd.

5. PROMOTION:
Resellers are free to promote and link to litePC.com using banners, buttons, text links, letters of recommendation to newsletter subscribers or your client base, or off-line advertising. LitePC Technologies abhors SPAM! ANY and ALL instances or unsolicited bulk e-mail, newsgroup spamming or self propogating pop-up banner pages brought to the attention of LitePC Technologies will result in INSTANT TERMINATION of your reseller account and forfeiture of any and all outstanding commisions.

6. INDEPENDENT CONTRACTORS:
Both the Reseller and LitePC Technologies Pty Ltd are independent contractors and nothing in this agreement is intended to or will create any form of partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. The Reseller shall not assign this Agreement, by operation of law or otherwise, without the prior written consent of LitePC Technologies Pty Ltd. Subject to the foregoing restriction, this agreement is binding upon, insures to the benefit of and is enforceable by the parties and their respective successors and assigns.

7. LIABILITY:
LitePC Technologies Pty Ltd makes no warranties, representations or conditions with regard to the reseller program or any product or service sold thereunder, whether express or implied, arising by law or otherwise, including without limitation any implied warranty of merchantability or fitness for a particular purpose or non-infringement or any implied warranty arising out of course of performance, course of dealing or usage of trade.

8. EXTENT OF AGREEMENT
This reseller agreement constitutes the whole agreement between the Reseller and LitePC Technologies Pty Ltd and supersedes any other communication between the two parties, whether express or implied, other than an existing written Agreement Modification signed by both parties.
